Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between you and SimpleStruct. They apply when you create an account, sign in to ConstructiVision (web or AutoCAD plugin), buy a subscription or tokens, or use any related service we operate. By doing any of those things you accept these Terms. If you do not accept them, do not use the service.

2. Your account

You may create an account using one of the supported identity providers (Google, Apple, LinkedIn, Dropbox, Autodesk) or with an email and password. One account is for one person. Keep your credentials safe; you are responsible for activity that happens under your account.

You must be at least 16 years old (or the age of digital majority where you live, whichever is higher) to create an account.

3. What ConstructiVision does

ConstructiVision generates panel design drawings, dimensions, materials lists, and related construction documentation from inputs you provide. The software is a productivity tool. You remain responsible for the engineering judgment in your projects, and a licensed structural engineer of record must review and seal output for actual construction use. SimpleStruct does not provide engineering services.

4. Pricing, tokens, and membership

4.2 How tokens work

Tokens are spent when you print or export a deliverable artifact (PDF panel book, DXF file, CSV materials list, printed page) from either cv-web or cv-cad. One token covers one such artifact. Exporting a native ConstructiVision file (.cvpanel, .cvsite, .cvp, .cvt) does not spend a token, because those files are inter-app transport, not deliverables.

Tokens do not expire. Tokens are not transferable between accounts and have no cash value. Unused tokens are not refundable.

4.3 What membership unlocks

An active membership (trial, monthly, or annual) unlocks the cv-web editor and AI-assisted features (such as pick simulations and automatic panel layout). Without active membership you can still sign in to cv-web to view your projects, and you can still spend tokens you already own on prints and exports, but the editor is read-only and AI features are disabled.

4.4 Billing, renewal, and cancellation

Subscriptions renew automatically on the same day of the month or year that you started them, until you cancel. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current paid period — you keep editor and AI access until the period ends, and any tokens you accumulated remain yours.

If a renewal payment fails, we will retry the charge and notify you by email. If payment is not recovered, the membership becomes inactive (you keep your tokens; the editor reverts to read-only).

4.5 Refunds

Subscription fees are refundable on request within 14 days of purchase if you have not yet used any membership-only feature. Token bundles are refundable within 14 days of purchase to the extent the tokens have not been spent; spent tokens are not refundable. Refunds for accidental charges or duplicates are issued at our discretion.

4.6 Taxes

Prices are exclusive of sales tax. Where required, sales tax is added at checkout.

5. License to use the software

Subject to these Terms and your payment of applicable fees, SimpleStruct grants you a personal, non-exclusive, non-transferable, revocable license to install and use ConstructiVision for your own construction projects and the projects of your customers. The license covers the AutoCAD plugin running on your machines and the web application accessed through your account.

You may not: (a) copy, redistribute, or sublicense the software; (b) reverse engineer or decompile compiled components except where local law expressly permits; (c) remove or alter copyright or trademark notices; (d) use the software to build a competing product; (e) share your account credentials with people outside your organization.

6. Ownership

SimpleStruct retains all intellectual property rights in the software, the website, the brand, and all documentation we produce. You retain ownership of the projects, drawings, materials lists, and other content you create using the software. By saving project content to our cloud storage, you grant SimpleStruct a limited license to host, copy, and serve that content as required to operate the service for you.

7. Acceptable use

You agree not to use the service to: violate any law; infringe anyone else's intellectual property; upload malware or otherwise interfere with the service's operation; attempt to break into other accounts; scrape or harvest data; impersonate someone else. We may suspend or terminate accounts that violate this section.

8. Third-party services

ConstructiVision integrates with Autodesk AutoCAD, OAuth identity providers (Google, Apple, LinkedIn, Dropbox, Autodesk), Stripe (payments), and infrastructure providers (Supabase, AWS). Each of those services has its own terms; using them through ConstructiVision means you also accept their terms. SimpleStruct is not responsible for the availability or behavior of third-party services.

9. Beta features

From time to time we may make pre-release features available, identified as "beta" or similar. Beta features may change, break, or be removed without notice. Service Level commitments do not apply to beta features.

10. Service availability

We aim for the web service to be available 24/7, but we do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or unforeseen events may cause downtime. Drawings that have already been licensed in the AutoCAD plugin remain usable without an internet connection — once a drawing is licensed, it can be opened, plotted, and printed for the life of the file. Licensing new drawings requires the web service to be reachable.

11. Disclaimers

Except as required by law, the service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. SimpleStruct does not warrant that drawings, dimensions, materials lists, or any other output are free of errors, and it remains the user's and the engineer of record's responsibility to verify all output before construction.

12. Limitation of liability

To the maximum extent permitted by law, SimpleStruct's aggregate liability arising from or related to the service is limited to the amount you paid SimpleStruct in the twelve months preceding the event that gave rise to the claim. In no event is SimpleStruct liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.

13. Indemnification

You will defend and indemnify SimpleStruct against third-party claims arising from your misuse of the service, your violation of these Terms, or your violation of someone else's rights.

14. Termination

You may close your account at any time from account settings. We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or use the service in a way that creates risk for SimpleStruct or other users. On termination, sections 5 (last paragraph), 6, 11, 12, 13, and 15 survive.

15. Changes to these Terms

We may change these Terms. If a change materially reduces your rights, we will give you at least 30 days' notice by email before the change takes effect. Continued use after the effective date means you accept the new Terms.

16. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which SimpleStruct is organized, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in that state, and you and SimpleStruct each consent to that jurisdiction.
